To strengthen its specialist M&A Legal team, the organisation is looking to appoint a Senior Legal Counsel based in Brussels.
Jobomschrijving
As Senior Legal Counsel - M&A, you will act as lead legal adviser on high-profile international transactions.
Your responsibilities will include:
- Leading the legal execution of domestic and international acquisitions, divestitures, joint ventures and strategic investments.
- Managing complex legal due diligence exercises and coordinating specialist legal input across multiple jurisdictions.
- Drafting, reviewing and negotiating transaction documentation, including share purchase agreements, joint venture agreements, transition service agreements, NDAs and other ancillary documents.
- Advising on transaction structuring and identifying pragmatic solutions to legal and commercial risks.
- Partnering with internal stakeholders across Corporate Strategy, M&A, Finance, Treasury, Tax, HR, IT and Compliance throughout the deal lifecycle.
- Managing signing, closing and post-closing processes.
- Supporting integrations, carve-outs and corporate reorganisations following completed transactions.
- Coordinating and managing external legal counsel internationally while maintaining ownership of transaction execution.
- Advising senior management on strategic legal considerations impacting investment decisions.
- Contributing to the continuous development of the company's M&A legal function and best practices.
Profiel
- Belgian Master's degree in Law.
- Approximately 8+ years of post-qualification experience in Corporate/M&A law.
- Experience gained within a leading international law firm and/or a sophisticated international in-house legal environment.
- Demonstrated experience leading complex domestic and cross-border M&A transactions.
- Excellent drafting, negotiation and project management skills.
- Strong commercial judgement and ability to translate legal complexity into practical business advice.
- Confident communicator with the ability to influence senior stakeholders.
- Fluent in English. French and/or Dutch are considered strong assets.
